1. Our General Terms and Conditions take precedence over any other general terms and conditions. By placing an order, the Customer accepts our General Terms and Conditions.

2) The definitive number of people is communicated by the Customer 10 days before the event. This number of people will be invoiced. No account will be taken of absent participants. If the Customer does not communicate the definitive number of people 10 days before the event, the number of participants included in the offer will be used.

3. Reservations and/or offers are only binding on Moodmaker after written confirmation by Moodmaker.

As part of the organisation of the event, Moodmaker provides the products and/or services listed in the quotation. Moodmaker is entitled to engage third parties to provide these products and/or services. The customer is responsible for all other items not listed in the quotation.

4. Any additional costs resulting from additional products and/or services to be provided at the request of the customer and which are not included in this quotation will be paid by the customer at Moodmaker’s first request.

5. If the customer cancels the supply of one or more products and/or services listed in the quotation, the customer will compensate Moodmaker for costs already incurred, services already provided and loss of profit resulting from the cancellation. The customer will indemnify Moodmaker for all third party claims resulting from this cancellation.

6. All invoices, unless otherwise stated on the invoice, are payable in cash. The amount of each invoice not paid in full on the due date is increased by right and without prior notice by interest of 1.5% per month started as well as a fixed compensation equal to 10% of the unpaid amount.

7. Moodmaker’s responsibility is limited to the correct delivery of the products and/or services mentioned in the offer. The Customer is responsible for the organisation, content and financing of the event. The Customer agrees to pay in full all taxes, charges, costs and expenses directly or indirectly related to the event (such as advertising costs, licensing costs, direct and indirect taxes, withholding taxes, excise duties and fees, remuneration due to its own employees and copyright and related rights collected by management companies) so that they can in no way be recovered from Moodmaker. The Client also undertakes to take out the appropriate insurance required. The Customer indemnifies Moodmaker against all claims of any nature whatsoever arising in connection with the event and is fully responsible for all accidents and damage that may occur as a result of the organisation of the event with regard to the venue, the people involved in the event and/or the rented equipment, etc.

8. Moodmaker will not be held responsible for failure to fulfil its obligations insofar as this failure is exclusively due to force majeure. Force majeure is defined as any condition that can reasonably be considered to be beyond human control, such as fire, natural disasters, weather conditions, strikes, etc. …..

9. The Customer agrees to provide Moodmaker with any event guidelines, where available, in writing no later than the signing of the quotation. If Moodmaker requires additional information or assistance in the execution of its orders, the client will provide this in writing on first request. The client also agrees to keep Moodmaker informed of the content of the event.

10. If the client breaks or cancels the contract or if the contract cannot take place because of the client, the client owes Moodmaker an indemnity of :

i. 20% of the total amount of the order in the case of cancellation 60 calendar days before the start of the event;

ii. 50% of the total amount of the order in the event of cancellation 30 calendar days before the start of the event;

iii. 80% of the total amount of the order in the event of cancellation 14 calendar days before the start of the event.

iiii. 100% of the total amount of the order in the event of cancellation 7 calendar days before the start of the event.

11. Moodmaker may quote the Customer, refer to it as a Customer, use its name, logo, photos, video material, etc. in communications with its Customers or prospects (including mailings, website, brochures).

12. The parties declare that in the event of a dispute, they will make every effort to find an amicable solution and will always respect the necessary discretion. If no amicable solution is found, disputes relating to the conclusion, validity, interpretation or performance of this agreement will be settled exclusively and definitively by the courts of Ghent, applying Belgian law.
